S.C Fondul Proprietatea S.A becomes Petrom’s shareholder

In the letter dated March 2, 2006, S.C Regisco S.A informed Petrom S.A about the fact that on February 27, 2006, at the request of S.C Fondul Proprietatea S.A., 5,600,050,607 shares, issued by Petrom S.A, have been transferred from the account of the Ministry of Economy and Commerce in the account of S.C Fondul Proprietatea S.A.

Subsequent the transfer, the Ministry of Economy and Commerce owns 17,214,796,909 shares representing 30.740% of the share capital and S.C. Fondul Proprietatea S.A. owns 5,600,050,607 shares, representing 9.999999999% of the share capital.

We mention that the transfer took place before the registration of the share capital increase, approved by GMS held on November 22, 2005, at the Trade Register Office and National Securities Commission.

The stake of the Ministry of Economy and Commerce will increase as a result of the share capital increase.
