Changes in the Supervisory Board

OMV Petrom S.A. (OMV Petrom) announces that Mr. Bogdan Nicolae Badea notified the waiver of his mandate as member of the Supervisory Board of OMV Petrom, effective starting 26 April 2016. Following the waiver of his mandate, Mr. Bogdan Nicolae Badea will cease to hold this position in Supervisory Board starting 26 April 2016, his seat becoming vacant. As a consequence, item 71 on the agenda of the Ordinary General Meeting of Shareholders convened on 26/27 April 2016, regarding his revocation from his capacity as member of the Supervisory Board of OMV Petrom, remains without object.

In case of vacancy of a position in the Supervisory Board, in line with the legal provisions and the OMV Petrom’s Articles of Association, a new member of the Supervisory Board is to be appointed for the remaining period of the mandate of Mr. Bogdan Nicolae Badea, namely until 28 April 2017.

Therefore, the OMV Petrom’s Ordinary General Meeting of Shareholders on 26/27 April 2016 will only resolve upon item 72, regarding the appointment of a new member of the Supervisory Board of OMV Petrom for the remaining period of the mandate granted to Mr. Bogdan Nicolae Badea, namely until 28 April 2017.

Items 71 and 72 were introduced on the agenda of the Ordinary General Meeting of Shareholders of OMV Petrom at the proposal of the shareholder - Romanian State through Ministry of Energy.

Mr. Bogdan Nicolae Badea was appointed member of the Supervisory Board of OMV Petrom, by the Ordinary General Meeting of Shareholders on 28 April 2015, at the proposal of the shareholder - Romanian State through Ministry of Energy.
