Significant event to be reported: Changes in the shareholding structure of OMV Aktiengesellschaft, majority shareholder of OMV Petrom S.A.
OMV Petrom S.A. ("OMV Petrom") was notified and consequently announces the market on the changes in the shareholding structure of OMV Aktiengesellschaft (“OMV AG”), the majority shareholder of OMV Petrom, holding 51.1568% of its total share capital.
According to the notification received, Abu Dhabi National Oil Company (ADNOC) P.J.S.C. ("ADNOC") and Mubadala Petroleum and Petrochemical Holding Company LLC (“Mubadala”), both ultimately owned by the Government of Abu Dhabi, entered into a share purchase agreement under which ADNOC will acquire from Mubadala its entire participation, namely 81,490,900 shares in the share capital of OMV AG (the "Transaction").
The Transaction has completed on 28.02.2024 (the "Closing Date"). As of the Closing Date, ADNOC owns 24.9% of the shares of OMV AG and will also replace Mubadala as a party to the existing shareholders agreement with Österreichische Beteiligungs AG, concerning OMV AG.
The changes triggered by the Transaction have occurred as of the Closing Date at the direct shareholding level of OMV AG.
