Notice on the completion of the sell-out procedure to exercise the sell-out right from S.C. OMV Petrom S.A.

• 23 out of 28 shareholders having exercised their sell-out rights, also exercised their option to withdraw the sell-out right request
• According to the shareholder’s registry of OMV Petrom S.A. keep by the Central Depositary, none of the five shareholders who maintained their sell-out right request had any shares at the Blocking Date, defined by the sell-out procedure (i.e. March 14, 2011)
• Consequently, in accordance to the sell-out procedure, OMV Petrom S.A. has no shares to buy back from the shareholders that maintained the sell-out right request
