Sell-out price determined by independent expert

In accordance with article 226 paragraph 1 of Law no. 227/2004 and article 113 letter A) of National Securities Commission’s Regulation no. 1/2006 on issuers and trading of securities,

OMV Petrom S.A. hereby announces the receipt from the appointed independent expert Pricewaterhouse Coopers Management Consultants SRL of the valuation report establishing the sell-out price, (gross including any related fees and taxes). The sell-out price determined by the independent expert is 0.352 RON/share. 
The net sell-out price will be paid to the shareholders which have exercised their sell-out right and which will not opt to exercise the right to withdraw their sell-out request within 10 working days since the publication date of this ad-hoc report, in accordance with the “Procedure to exercise the sell-out right from OMV Petrom S.A.”, approved by the Extraordinary General Meeting of the Shareholders held on August 3, 2010, which is available on the company website.
